Mergers and acquisitions (M&A) advisory service is our core business. Cedar East specializes in cross-border M&A transactions

between Asia (especially the Greater China Region), Europe and North America.

 

We offer clients on both buy-side and sell-side mandates on a broad range of transactions, including: mergers, acquisitions, sales,

divestitures and other restructurings. Our project partners have advised on transactions with deal sizes from 20 million EUR to 150 million EUR.

 

Our M&A advisory team and partners are composed of seasoned professionals who combine cross-border investment banking experience with industry expertise in the sectors we serve.

Buy-side M&A Advisory

Cedar East assists companies to initiate and execute middle market cross-border acquisitions to meet their global business expansion strategies. We are currently providing M&A advisory services to companies on acquisitions of target companies with transaction sizes between 20 million EUR and 500 million EUR.

 

As a buy-side M&A advisor, Cedar East works closely with clients throughout the M&A process, from the screening phase until closing.

  • Screening: Tailors screening process of suitable targets by performing in-depth analysis of the buyers’ business model

  • Valuation: Preforms comprehensive valuation of the project and company

  • Financial Modeling: Builds integrated and interactive financial model

  • Deal Structure: Helps clients structure the transaction

  • Coordination: Maintains cross-border project coordination among all parties involved (e.g. scheduling, translating etc.)

  • Document Preparation: Prepares transaction documentation

  • Negotiation: Actively assists clients to negotiate key clauses in term sheets and contracts

Sell-side M&A Advisory

Cedar East works closely with founders, management teams, and boards of private companies on sales mandates, from total sales to partial exits, and on assignments for corporations divesting non-core operations. Our mandate includes sales to both strategic and financial investors.

 

Leveraging our relationships with industry partners, private equity firms, venture capital funds, and research institutes in China, Canada, and Europe, we can help our clients to maximize their exits by finding high quality potential buyers in our focused regions who mesh effectively with our clients.

 

With our unique cross-border resources, and knowledge of the capital markets and regulatory environments in both developed and emerging markets, we can better structure the sales process to generate strong competition for the transaction.

 

Typical Sell-Side mandates include:

  • Investment Thesis: Work closely with the client to conduct in-depth research on the subject asset or company and to develop a well-structured and sound investment thesis, both quantitatively and qualitatively.

  • Memorandum Preparation: Draft all information memorandum and reports associated with the particular mandate. (On demand, we also can provide bilingual information packages)

  • Buyer Search: Proactively market our client’s deal to potential buyers/investors in our focused regions, and identify the most suitable acquirers to execute the deal.

  • Negotiation: Assist clients on term sheet negotiations till the closing of the transaction.
